Terms of Service

1. Who we are

SideKick is an AI-native product studio. We design, build, and operate software products, AI agents, integrations, games, and related tools. Our public site and operated tools (including social publishing tooling hosted under sidekick.finance domains) are part of the Services.

2. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) and able to form a binding contract to use the Services. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization.

3. Accounts and access

Some Services require an account. You are responsible for safeguarding credentials and for activity under your account. Notify us promptly at contact@sidekick.finance if you suspect unauthorized access.

We may suspend or terminate access if we reasonably believe you violated these Terms, applicable law, or third-party platform rules (including TikTok, Meta, X, YouTube, and similar providers).

4. Acceptable use

You agree not to misuse the Services. Prohibited conduct includes, without limitation:

• Violating laws, regulations, or third-party platform terms (including social networks and advertising policies)
• Uploading or publishing unlawful, infringing, deceptive, harmful, or abusive content
• Attempting to gain unauthorized access to systems, accounts, or data
• Interfering with or degrading the Services, scraping without permission, or reverse engineering except where allowed by law
• Using the Services to spam, manipulate engagement metrics, or distribute malware

5. Social media and third-party platforms

If you connect third-party accounts (for example TikTok) to tools we operate, you authorize us to access and use those accounts only as needed to provide the features you request (such as authentication, profile information, media upload, and post scheduling/publishing).

Your use of each third-party platform remains subject to that platform's terms and policies. We do not control third-party platforms and are not responsible for their availability, decisions, or content moderation.

You are solely responsible for the content you schedule or publish and for obtaining any rights, permissions, and disclosures required for that content.

6. Your content

You retain ownership of content you submit to the Services ("User Content"). You grant SideKick a worldwide, non-exclusive, royalty-free license to host, process, transmit, and display User Content solely to operate and improve the Services and to fulfill your instructions (for example, publishing to a connected social account).

You represent that you have all rights needed to submit User Content and to grant this license, and that User Content does not infringe others' rights.

7. Intellectual property

The Services, including software, branding, and site content (excluding User Content), are owned by SideKick or its licensors and are protected by intellectual property laws. These Terms do not grant you any right to use SideKick trademarks except as needed to refer to the Services in good faith.

8. AI features

Some Services may include AI-assisted features. AI outputs can be inaccurate or incomplete. You are responsible for reviewing AI outputs before relying on or publishing them. Do not submit sensitive personal data to AI features unless necessary and permitted.

9. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SIDEKICK AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICES IN THE 12 MONTHS BEFORE THE CLAIM OR (B) USD $100.

11. Indemnity

You will indemnify and hold harmless SideKick from claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of your User Content, your use of the Services, your connected third-party accounts, or your violation of these Terms or applicable law.

12. Changes and termination

We may update these Terms from time to time. We will post the updated Terms on this page and update the effective date. Continued use after changes become effective constitutes acceptance. We may modify or discontinue Services with reasonable notice when practicable.

13. Governing law

These Terms are governed by the laws of the United States and the State of Delaware, without regard to conflict-of-law rules, unless mandatory consumer protections in your jurisdiction provide otherwise. Courts located in Delaware will have exclusive jurisdiction, except where prohibited.
